This paper systematically analyzes the organization system constraints and management system constraints of small and medium-sized private enterprises, which reached the following conclusions: the premise of breaking organization system constraints is to take chamber of commerce plus enterprise form and carry out organization system innovation; the premise of breaking management system constraints is to improve the management system of small and medium-sized private enterprises and conduct management system innovation.
