    Chinese enterprises overseas mergers and acquisitions (M&As) are conducted in the market context, focusing on the capital operation with the final purpose to increase the value of the enterprises, which determines that risk management system (RMS) should be based on the market to manage the value and be directed by capital. The managing process of M&A risks by RMS is dynamic, during which the elements in the enterprises M&A risk management are connected with each other regularly. The enterprise M&A RMS also has its own operation rule, operation manner and evolution principle. The understanding and reasonable application of these rules is the basis to effectively manage the M&A risks.
