Corporate governance involves a set of relationships between a companyʹs management, board, shareholders and other stakeholders. Corporate governance also provides the structure through which the objectives of the company are set, and the means of attaining those objectives and monitoring performance are determined. Corporate governance is affected by the relationships among participants in the governance system. Corporate governance is one key element in improving economic efficiency and growth as well as enhancing investor confidence. Corporate governance is concerned with the resolution of collective action problems among dispersed investors and the reconciliation of conflicts of interest between various corporate claimholders. Suitable establishment of corporate governance mechanisms is a basic action for optimum use of resources, promotion of responsibility, transparency, consideration of fairness and all beneficiariesʹ rights. The first definition of corporate governance centralized on conducting more than control, but nowadays corporate governance has had spread dimensions and includes control too.
