Abstract :
In Turkish Commercial Code of 6102, right to wind up a company on just and equitable basis is regulated for corporations for the fist time . The right to wind up a company on just and equitable basis is a strong instrument that protects the minority of shareholders rights. But beyond this, in sectıon 531 of Turkish Commercial Code , the judge is allowed to choose other alternatives to solve the problem in the company, including the discharge of the shareholder who sues the company.
