Abstract :
In the current Turkish Commercial Code, most expansive amendments were adopted in the fourth chapter relating to “joint stock companies” whereof the part with the largest number of amendments is the provisions concerning the “board of directors”. In this article, not the amendments to the whole structure of the board, but rather the attributes of the board members were discussed. At the discussion, we declared in detail whether or not the new regulations in each heading of the Turkish Commercial Code are favourable, and we pointed out potential issues in practice.
