Abstract :
Turkish Commercial Code numbered 6102 (“TCC”) stipulates that the share certificates of a limited liability company can be issued in the form of a nominative share certificates as well as a document of proof. However, even if the nominative share certificates are issued in a limited liability company, article 595 of TCC, which stipulates the transfer of the shares, will be applied. The provision set forts by the article 593 (2) of TCC enabling the limited liability companies to issue nominative share certificates raised different views in the Turkish legal doctrine. In our study we will examine the legal qualification of the nominative share certificates addressing the general principles of valuable papers, the provisions of TCC regarding the process of the limited liability companies, related doctrinal views and the developments in the Swiss law.
