    With the rapid economic development, the strategic resources that changed essentially from resource-based economy to a knowledge-based economy, human capital has become the most important strategic resources that affect the development of a national economic and social. To establish human capital investment system, to allow human capital as the modern enterprises´s share, to make human capital obtain the legal form of equity share, that is the reasonable control and full use of human capital, which is the necessary requirement of innovation and development of enterprise system in knowledge economy era. This paper discusses the human capital investment play an active role in the modern enterprises and reveals the necessity of human capital investment, also analyses the risk caused by the characteristics of human capital investment and the legal control of these risks and preventive measures.
