With the coming of the comprehensive development of knowledge economy and information economy in the 21st century, human capital has been becoming one of the most dramatic focuses in market competition. It has been the most realistic problem we are facing to establish a reasonable incentive system to make a union with employees, so as to make long-term and stable development. Considering the importance of the human capital nowadays, a high-efficiency incentive system is a necessary way to build up the core competence of enterprises. Based on the results of previous theories of human capital and human capital participating in the shares of the enterprises benefits, the paper will analyze the conditions to implement human capital participating in the shares of the enterprises benefits, explain the status quo and the main problem of the system in China. At last, according the problems, the paper will make the policy suggestion about how to implement human capital participating in the shares of the enterprises benefits.
