Abstract
The serial scandals of Chinese conglomerates in 2009 say that the risk management mechanism is very weak and is urgent to build a set of reasonable risk control system. This article mainly suggests a new framework to improve the risk management mechanism of state -owned conglomerates from the independent director system perspectiv.
