Abstract :
The classical theory have focused on how the MNC in the developed countries using its dominance of the technology to make investment and transfer of industries in developing countries. The core idea is that monopolistic advantages, meanwhile this analysis paradigm is difficult to explain the cross-border M&A of Chinese companies based on seeking creative assets. Most of the enterprises in China do not have the monopoly advantage. In foreign direct investment, transnational mergers and acquisitions with its unique advantages is favored by entrepreneurs in developing countries. The enterprises in developing countries getting the creative assets is only by way of FDI to developed countries and technology spillovers Cross-border M & A is the cross-border mergers and acquisitions of enterprises invested by way of acquisition of high-tech enterprises in developed countries and multinational R&D department, to gain advanced technology, organization and management capabilities, marketing knowledge and other key knowledge. Then it effectively improves the international competitiveness of enterprises.
