جايگاه منطق در تفسير قرارداد در داوري تجاري بين المللي

The Status of Logic in Contract Interpretation in International Commercial Arbitration

يكي از مواردي كه در مطالعات داوري تجاري بين المللي كمتر مورد توجه قرار گرفته، مسائل ماهوي رسيدگي، از جمله تفسير قرارداد است. موضوعي كه در تفسير قرارداد ميتواند حائز اهميت باشد، تطابق نتيجه حاصل از تفسير با منطق است؛ بدين معنا كه اگر نتيجه اي كه از تفسير قرارداد به دست مي آيد منطقي نباشد آيا به لحاظ حقوقي داراي اعتبار است؟ در اين نوشتار، ضمن بيان مصاديقي از تفسير كه داراي نتايج غير‌منطقي است به بررسي رويكرد داوران بين المللي در اين خصوص پرداخته است و با توجه به آزادي عملكرد داوران بين المللي نسبت به دادگاههاي داخلي و رويه عملي داوران به اين نتيجه رسيده است كه همواره داوران، سعي در اجتناب از نتايج غير‌منطقي ناشي از تفسير دارند و در نتيجه اين بستر فراهم است كه در داوري تجاري بين المللي، منطق به‌ عنوان معياري اصيل به‌ منظور بي‌اعتباري نتيجه غيرمنطقي حاصل از تفسير مورد استناد قرار گيرد.

Certain substantial issues including interpretation of contracts have not been sufficiently touched upon in international commercial arbitration debates. Compatibility of the outcome of interpretation with logic is a very important issue. In fact, the main question is “could an illogical outcome of an interpretation be considered legally valid?” In this article, an attempt has been made to show some illogical outcomes resulting from interpretations and to examine the international arbitrators' approach to this subject. Finally, in view of the fact that international arbitrators enjoy more freedom than domestic judges, and in light of arbitral practices, it has been concluded that arbitrators always avoid irrational outcomes resulting from an interpretation. Therefore, it is argued that “logic” might be used as an original criterion in international commercial arbitration to rule out irrational outcomes.
