هدف از اين پژوهش اثر تفويض اختيار زمان اجراي تعهد به متعهد در حقوق ايران و اسناد بين المللي است. در حين انعقاد عقد، چه شفاهي و چه كتبي، به هر دليل ممكن است، زمان اجراي تعهد در اختيار متعهد قرار گيرد. چه بسا اگر متعهد اجراي تعهد را به سود خود نداند، به ادعاي نامعلوم بودن زمان اجرا تمايلي به اجراي آن نشان ندهد. به ويژه، قوانين موضوعه كشور ما در اين باره ساكت است. لذا جهت خروج از سرگرداني، به ماده 401 ق.م. استناد مي شود، كه مقرر مي دارد؛ در صورت عدم تعيين مدت براي خيار شرط، هم شرط خيار و هم بيع باطل است. رويه محاكم هم در اين باره دوگانه است. بطلان چنين تعهدي نيز در نظريه حقوقدانان غلبه دارد. بنابراين به نظر مي رسد، بايد ميان اراده به ايجاد تعهد و اراده به اجراي آن فرق گذاشت.
