چكيده فارسي :
ايران داراي رتبه نخست ذخاير گازي و سومين مالك بزرگ ذخاير نفتي در جهان است؛ لذا اجراي پروژه ها در اين صنعت عظيم، نيازمند قراردادهاي دقيقي است. در راستاي انجام بهينه پروژه هاي طرح و ساخت صنعتي، تدوين الگو و مختصات جديد سند همسان طرح و ساخت با كمترين ايرادات، امري اجتناب ناپذير است؛ به نحوي كه با قطعيت دادن به زمان و مبلغ مندرج در قرارداد تا حد امكان، با بهترين كيفيت و كمترين ميزان دعاوي، نتايج مطلوب حاصل و پروژه ها با بهترين كيفيت اجرا گردند. در اين راستا با انجام مطالعات كتابخانه اي، بررسي اسناد بين المللي خصوصا سند نقره اي فيديك، مطالعه مقالات و پايان نامه ها و بررسي قوانين و مقررات، ايرادات و كاستي هاي موجود با طراحي، توزيع و جمع آوري پرسشنامه از خبرگان و تحليل نتايج مشخص گرديده و اين نتايج حاصل شد كه علاوه بر اصلاح ساختار و مدل مفهومي سند، بايستي تعهدات و مسئوليت هاي طرفين پيمان بطور دقيق پيش بيني شده و توزيع منطقي ريسك انجام شود. خصوصا در زمينه تاخير در پرداخت به پيمانكاران، مكانيزم جبران خسارات پيش بيني گردد. همچنين ماده هاي مربوط به مبلغ پيمان، شرايط تنفيذ پيمان، انجام طراحي پايه، بيمه نامه ها، ضمانتنامه ها، تسهيلات پيمانكاران، تعليق، تحويل موقت و خاتمه و فسخ پيمان و ساير موارد اصلاح گرديده و قوانيني كه بايد صراحتا در متن شرايط عمومي پيمان عنوان گردند، ذكر شوند.

Iran holds the first and third rank worldwide in gas and oil reservoirs, respectively; therefore, projects executed in this noble industry requires accurate contracts.
In order to optimize accomplishment of industrial design-build projects, designing new coordinates of EPC identical documents with the least potential problems is inevitable, In a way that, with certifying the time and fee stated in the contract to the most possible extent, with the highest quality and fewest claims, the desired results be obtained and the project be fulfilled with the best quality. To this end, with the pursuit of library based studies, investigating international documents particularly FIDIC silver book, reviewing articles, theses, rules and regulations, existing problems and deficiencies have been identified through designing, distributing, and collecting a survey from the elites after having the obtained results analyzed and thus this conclusion has been drawn that, in addition to reforming the structure and conceptual model of the document, it is also required that the obligations and liabilities of both parties of the contract be minutely specified and the logical distribution of the risk be conducted. Especially, in the area of delay in payment to the contractors, the mechanism required for compensating the loss needs to be anticipated. moreover, the articles related to contract price, commencement date conditions, basic design, assurance, guaranty letters, contractors facilities, suspension, provisional taking over, termination, waiver and other cases need to be corrected and the rules that are required to be expressly mentioned in the context of general conditions of the contract be stated.
