Rapid changes and daily growth of knowledge and information, have convinced organizations in order to preserve their competitive advantages, to concentrate fully on knowledge management. Hence, the cognizance of effective factors on organizational knowledge management is of great importance. Categorizing and cognizance of the most important content and context factors of knowledge management and their indicators of evaluation, is the main point of paper. Information collection method in this paper, is library method, and the use of internet resources and the research method is integrating research and using the Delphi Technique. Cognizanced content factors include search, acquisition, creation, refinement, selection, internalization, externalization, storage, retrieving, sharing, utilization, conversion, visualization, transfer, defusion, measurement, preservation, security and knowledge quality control, that have been summed up as planning, institutionalization and knowledge control groups. Cognizanced context factors include technology, structure, culture, marketing capability, R&D capability, innovation ability, human resources, management and explicit goals, knowledge transfer channels, technical substructures, communications, persuasive system, substructure of information technology, knowledge organizing, training, accurate presentation of knowledge management goals, organization strategy and leadership that have been classified in four groups of goals & strategy, structure, technology & processes, human resources.By applying the results, every organization can evaluate their knowledge management level.
