A Reflection on the Foundations and Content of Binding and Undertaking in Contracts

دير زماني است كه اصل لزوم در حقوق قراردادها حكمراني دارد و شايد پايه و اساس بيشتر قواعد آن باشد، ولي با توجه به تحولات اقتصادي و معاملات تجاري در جهان امروز، به‌ويژه در عرصه تجارت بين‌الملل و نيازهاي روزافزون بشر، ضرورت ايجاب مي‌كند كه در معنا و مفاد مستفاد از اين اصل، در حقوق قراردادهاي ما تجديد نظر صورت پذيرد. با مطالعه و تامل در مباني شكل‌گيري اصل لزوم و التزام به عقد و با توجه به اينكه امروز مبناي نيروي الزام‌آور عقد، آميزه‌اي از اصل حاكميت اراده، قواعد اخلاقي و الزامات اجتماعي است و مبناي لزوم عقد هم، بناي عقلاست، به نظر مي‌رسد مفاد اصل الزام و التزام در قراردادها، ديگر اجراي عين تعهد در همه موارد، ازمنه و امكنه نيست، بلكه بايد دايره وفاي به عقد را توسعه داد و برآوردن انتظارات معقول و متعارف طرفين عقد را وفاي به عقد محسوب نمود.

For a long time, the principle of binding force of contracts has governed the law of contracts and perhaps it underpins the most of its rules. However, due to economic developments and trade transactions in today’s world, especially in the fields of international trade, it is necessity to revise the content of this principle in our law of contracts. Through reflection on the foundations of the formation of this principle, and considering the fact that it rests on the principle of free will, moral rules and social convictions, it seems that the content of the principle of binding and undertaking in contracts is no longer confined to the specific performance of the contract in every time and place. Instead, the scope of performance should be extended in order that meeting the reasonable expectations of the parties should be regarded as the performance of the contract.
