استقرار حاكميت شركتي در موسسات مالي ايران (مطالعه موردي: بانك A)

Establishment of corporate governance in financial institutes in Iran

حاكميت شركتي يكي از مسايل بسيار حايزاهميت در نهادهاي پولي و مالي است؛ به نحوي كه ضعف و توجه ناكافي به حاكميت شركتي صحيح در بانك‌ها به عنوان يكي از علل اساسي بحران مالي سال‌هاي ????-???? شناخته شده است. حاكميت شركتي به مجموعه روابطي اطلاق مي‌شود كه ميان ذي‌نفعان يك سازمان وجود داشته و بر نحوه اداره و نظارت بر آن تاثير مي‌گذارد. در اين تحقيق به منظور تدوين برنامه استراتژيك، به بررسي ميزان استقرار حاكميت شركتي در بانك A در دو بعد توان و جذابيت، در قالب جذابيت بازار بانكي در وضعيت حال با وضعيت آتي، و توان رقابتي بانك در موقعيت موجود با موقعيت مطلوب مورد بررسي قرارگرفت.نتايج تحقيق بيانگر شكاف معنادار شاخص ها در ميزان رعايت اصول حاكميت شركتي بر اساس تهديدها و فرصت هاي رقابتي بانكي در دو موقعيت حال و آتي، و ضعف ها و قوت بانك براي دو موقعيت موجود و مطلوب است.در جهت نيل به اهداف تحقيق و تفسير شكاف موجود در ميزان رعايت اصول حاكميت شركتي با توجه به يافته هاي تحقيق پيشنهادهاي كاربردي ارايه گرديد.

Corporate governance is one of the most important issues in monetary and financial institutions; So that weak and inadequate attention to proper corporate governance is known as one of the fundamental causes of financial crisis during 2007-2008 in banks. Corporate governance refers to the complex relationships that exist among the stakeholders of an organization and has an effect on how to manage and monitor it. In this study in order to develop a strategic plan, a survey of the establishment of corporate governance in banks in both the power and charm forms, in case of attractiveness in the banking market in the state and future situation and the bankʹs competitive position in the desired position were analyzed. Present research is applied research and information and data collected from a descriptive and analytical study. The result indicate significant gaps in the indices of the criterion of observance of corporate governance principles based on the bankʹs competitive opportunities and threats in state and future position, Strengths and weaknesses the bank for both existing and desirable position. In order to achieve the objectives of the study and interpretation of the gap in levels of the criterion of observance of corporate governance principles, according to research findings, practical recommendations were presented.
