محرمانه‌بودن داوري تجاري بين الملل

Confidentiality of International Trade Arbitration

داوري شيوه خصوصي حلوفصل دعاوي در تجارت بينالملل است. محاسن داوري نسبت به دادگستري دولتي موجب شده است تجار در سطح بينالملل دعاوي خود را به داوري ارجاع دهند. يكي از اين محاسن محرمانهبودن اين شيوه دادرسي است. سوال اين است كه جنبه محرمانهبودن داوري بر مبناي كدام منابع داوري تجاري بينالملل استوار است. قلمرو و ضمانت اجراي تخلف از آن كدامند؟ مطالعه تطبيقي نظامهاي حقوقي نشان ميدهد آن‎ها به وجود و منابع اين تعهد نگرش يكساني ندارند. در واقع، اثبات اين تعهد در صورت فقدان توافق صريح طرفين قرارداد با مشكلات مهمي مواجه شده است. به طوري كه در حقوق برخي كشورها وجود چنين اصل يا تعهدي انكار شده است. در اين مقاله سعي شده است وجود اين تعهد به عنوان يك شرط ضمني قراردادي اثبات شود و ضمانت اجراي نقض آن نيز معين شود.

Arbitration is a private justice for the settlement of disputes specially in the international trade. For a number of benefits, international traders prefer to refer their disputes to the arbitration for settlement. Confidentiality is one of those benefits. Here, there are some questions: is there any legal source in international commercial judgment requiring confidentiality of judgment? And what are the scope and the sanction of such requirement? A comparative study of international commercial laws shows that they do not have a consistent approach to the existence or sources of such requirement. In fact, in the absence of explicit agreement between the parties, a general obligation for confidentiality is a major problem. Some legal systems denies such general obligation. In this article, it is attempted to demonstrate this general obligation as a implied condition of an arbitration agreement and to specify its sanctions if it has been breached.
