تاسيس شعبه و شركت فرعي از روشهاي شناخته شده اي است كه شركت هاي تجاري براي گسترش فعاليت‏‎هاي خود هم در عرصه داخلي و هم بين المللي استفاده مي كنند. استفاده از اين دو ابزار، بويژه در مواردي كه شركتهاي خارجي قصد حضور در ايران را داشته باشند، ممكن است همراه با مخاطراتي باشد، ولي با توجه به تاثير آنها در رشد اقتصادي ملي، به آنها بايد به عنوان فرصت نگاه شود و نه تهديد. در اين پژوهش، ابعاد حقوقي اين دو موضوع مورد بررسي قرار گرفته است، چرا كه استفاده از آنها توسط فعالان اقتصادي منوط به آگاهي از ابعاد حقوقي آنها است. به علاوه، اين نكته مورد تاكيد قرار مي گيرد كه از بعد سياسي به جهت تاثيري كه اين روشها بر گسترش روابط بين كشورها مي گذارد، نبايد مورد غفلت قرار گيرند. به نظر مي‎رسد علاوه بر بسترسازي حقوقي، بسترسازي سياسي نيز براي گسترش استفاده از آنها لازم است.

Establishing a secondary branch and subsidiary is one of the known methods that are used by the business firms to develop their domestic and international activities. Using these two tools- especially in some cases that the foreign companies intend to participate in Iran- may lead to some risks, but with respect to their impacts on the national economic growth, they should considered as an opportunity more than a threat. In this study, the legal aspects of the two issues are investigated, because using them by the entrepreneurs depends on knowing their legal aspects. Moreover, it is confirmed that the political dimension should not be neglected due to the impact of these methods on the international relations development. In addition to providing the legal grounds, it appears that providing the political grounds is needed to develop their application. The research methodology is an analytical and descriptive one according to the library resources.
