SHAREHOLDERS RIGHTS AND LEGAL OPTIONS IN JOINT STOCK COMPANIES (A COMPARATIVE STUDY OF IRANIAN LAW AND LEBANON LAW)

سهام‌داران شركت‌هاي سهامي داراي حقوق متفاوتي هستند. تقسيم‌بندي حقوق سهام‌داران به حقوق مالي و غيرمالي معمول‌ترين شيوه تقسيم حقوق سهام‌داران به‌شمار مي‌رود. هدف هر شخص از سرمايه‌گذاري در شركت‌هاي تجاري، از جمله شركت‌هاي سهامي، به‌دست آوردن سود است، لذا مهم‌ترين حـق سهام‌دار را بايد بهره‌مندي از سود شركت دانست كه از جمله حقوق مالي است. همچنين سهام‌داران پس از انحلال شركت سهامي نيز در دارايي شركت سهيم خواهند بود. به دليل اينكه سهام‌دار يكي از عناصر مهم تشكيل‌دهنده شركت‌هاي سهامي به حساب مي‌آيد، پرداختن به موضوع اين مقاله از اهميت ويژه‌اي برخوردار است. فرضيه اين نوشتار اين است كه مالكيت سهام، حقوق و اختياراتي را براي مالكان سهام به دنبال دارد. هدف اين مقاله مطالعه تطبيقي حقوق و اختيارات سهام‌داران در شركت‌هاي سهامي در حقوق تجارت ايران و لبنان است.

Shareholders of joint stock companies have several rights. The most typical categorization of shareholdersʹ right is financial and non-financial right. Every oneʹs intention of investing in commercial companies is to make profit; hence, the most important right of shareholders is to enjoy the dividend of the company. This right is a financial one. Furthermore, after dissolution of the company, shareholders have right to enjoy the companyʹs assets. The necessity of dealing with the subject matter of this article is of paramount importance, since shareholders have pivotal roles in establishing the stock joint companies. The assumption in this article is that ownership of shares necessitates rights and legal options from which the owners of shares will benefit. The purpose of this paper is comparative study on shareholderʹs rights and legal options in Iran and Lebanon Commercial Law.
