تزاحم آزادي متعاملين در تعيين مفاد و شروط قراردادي با لزوم جبران ضرر نامشروع، و تقابل فايده‌ها و زيان‌هاي اقتصادي و اجتماعي شرط عدم مسئوليت، نظام‌هاي حقوقي را در تجويز آن، دچار ترديد كرده است و با وجود گرايش به پذيرش اصل اعتبار آن، استثنائات متعددي، با هدف جلوگيري از توافق‌هاي ناعادلانه، بر اين اصل وارد شده است. تحليل اقتصادي و بررسي معايب و فوايد اقتصادي شروط عدم مسئوليت و نقش آن در كارايي، مي‌تواند ما را در احراز عدالت قراردادي كمك كند.روش تحقيق، تحليلي و توصيفي بوده و در موارد ضروري، به روش مقايسه‌اي پرداخته تا رويكرد ساير نظام‌هاي حقوقي نيز روشن شود. تحليل اقتصادي شرط عدم مسئوليت نشان مي‌دهد كه پذيرش اصل اعتبار شرط عدم مسئوليت، كارايي اقتصادي را منجر مي‌شود؛ ليكن درصورتي‌كه قرارداد ناقص باشد، مانند وجود انحصار و نابرابري اطلاعاتي، دخالت دادگاه در تعديل يا ابطال شرط عدم مسئوليت ضروري است، يافته‌اي كه اصولاً و نه لزوماً، با تحليل حقوقي شرط عدم مسئوليت هماهنگ است.

The result is usually, but not always, consistent the legal analysis of exemption clause.
