Criminal Liability of Corporations under Specific Situations (Before Registration, during Settlement and after Merger)

نمي توان انكار كرد كه انعكاس صريح مسئوليت كيفري اشخاص حقوقي از جمله شركت هاي تجاري، آن هم در قبال عموم جرايم، بيان ضابطه هاي شكل گيري اين نوع مسئوليت اين موجود ها و نيز پيش بيني ضمانت اجراهاي متنوع و هم سو با طبع آن ها در قانون مجازات اسلامي، نقطه ي عطفي در تاريخ تحولات حقوق كيفري ايران محسوب مي شود. با اين وجود، بايد ديد پاسخ قانون گذار در برابر پرسش هايي چند راجع به مسئوليت كيفري شركت هاي تجاري در وضعيت هاي خاص چيست؟ نخست آن كه، چنين مسئوليتي از تاريخ ثبت و طي تشريفات مربوطه نمودار مي شود يا به قبل از اين مرحله بازگشت دارد؟ دوم آن كه، انحلال شركت هاي مذكور چه تاثيري بر مسئوليت كيفري آن ها خواهد گذاشت؟ آيا اين واقعه هم عرضِ مرگ اشخاص حقيقي تلقي، و مسئوليت كيفري آن ها را ناممكن مي سازد و يا به تبع بقاي شخصيت حقوقيِ اشخاص مزبور در مدت تصفيه، مسئوليت كيفري آن ها هم چنان تداوم مي يابد؟ سوم آن كه، آثار پديده ي ادغام و گونه هاي آن- ادغام يك جانبه و ادغام دو يا چند جانبه- كه مطمح نظر قانون هاي خاص، قانون هاي برنامه هاي چهارم و پنجم توسعه و نيز لايحه ي تجارت قرار گرفته است، بر مسئوليت كيفري شركت ادغام كننده- در ادغام يك جانبه- و شركت جديد- در ادغام دو يا چند جانبه- چيست؟

It is not deniable that explicit reflection of the legal persons' criminal liability including corporations، regarding the general crimes، explanation of criteria for assuming such liabilities and providing various executive warranties along with the Islamic Penal Code is a turning point in the Iranian criminal law development. However، there are some questions concerning the corporations' criminal liability under specific situations which must be answered by the lawmaker. The first question is that، whether this liability is exerted from registration date and the related arrangement or it is retrospective. The second question is that، what are the effects of breakup on a corporate liability? Is it regarded as the death of real persons which causes the extinction of criminal liability of legal persons during settlement? The third question is "what are the effects of merger and its various types (unilateral، bilateral or multi-lateral merger) on merging company's criminal liability، with regard to the scopes of special laws as well as the Fourth and Fifth Development Plan of the country، and the Trade Bill?
