وضعيت شرط تضمين سود

THE LEGAL STATUS OF CONDITION TO GUARANTEE PROFIT

يكي از شروط مهم در بازار سرمايه گذاري شرط تضمين سود است كه با توجه به غيرقانوني بودن ربا و بهره در حقوق اسلام و ايران، ضروري است وضعيت اين شرط و ضمانت اجراي حقوقي آن مورد بررسي قرار گيرد. به نظر مي رسد، شرط تضمين سود، يك نوع شرط فعل مي باشد كه به موجب آن مشروط‌ عليه متعهد به اكتساب مقدار سود مورد تراضي مي شود. هر چند فقهاي مذاهب اسلامي معتقد به عدم صحت شرط ‌پيش‌تعيين سود و تبعاً تضمين آن، در هر نوع مشاركتي شده ‌اند. اما دليلي بر بطلان چنين شرطي وجود ندارد. بلكه همان گونه كه سود در صورت عدم توافق، مشترك بين طرفين مي باشد، سود يك طرف نيز ممكن است با توافق ديگري از پيش تعيين گردد و اين مغايرتي با كتاب و سنت ندارد و شرط به استناد قاعده شروط نافذ است.

The jurists of Islamic schools, although, believed that; pre-specification of investment profits in any form of partnership is not allowed but there is not any proof to nullify such condition since just as profit may be shared between two parties, the profit of one party may be pre-specified and it dose not contradict any canonical text in the Qur’an and Sunnah.
